1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you and Big Head Consulting LLC ("Big Head Consulting," "we," "us," or "our"), an Illinois limited liability company. They govern your use of bigheadconsulting.ai and any related pages, tools, or services we make available through the site (collectively, the "Site").

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

If you engage Big Head Consulting for consulting services, that engagement is governed by a separate written agreement (such as a Master Services Agreement and Statement of Work). These Terms govern your use of the Site itself — they do not replace any signed consulting agreement.

2. Who May Use the Site

You may use the Site only if you are at least 18 years old and legally able to enter into a binding agreement. The Site is intended for use by businesses and business professionals. By using the Site, you represent that you meet these requirements.

You may not use the Site on behalf of any person or organization if you do not have the authority to bind that person or organization.

3. Description of the Site

The Site provides information about Big Head Consulting's services and includes an intake assessment tool that allows visitors to describe their business and receive a preliminary AI-generated recommendation about how Big Head Consulting might help.

The intake assessment tool is informational only. It is:

  • A starting point for conversation, not a binding proposal
  • AI-generated based on the limited information you provide and may contain errors or omissions
  • Not a substitute for professional advice tailored to your specific situation
  • Not a guarantee that we will accept an engagement with you

4. Your Use of the Site

4.1 Permitted Use

You may use the Site for its intended purpose: to learn about our services, submit an intake inquiry, and communicate with us about engaging our services.

4.2 Prohibited Use

You agree not to:

  • Use the Site in any way that violates any applicable law or regulation
  • Use the Site to transmit any material that is unlawful, fraudulent, defamatory, obscene, threatening, harassing, or that infringes another person's rights
  • Submit information that you do not have the right to submit (such as another person's confidential information)
  • Attempt to gain unauthorized access to any portion of the Site, the underlying systems, or any account
  • Probe, scan, test, or compromise the security of the Site
  • Use any robot, scraper, or other automated means to access the Site, except for well-behaved search engine crawlers obeying our robots.txt
  • Use the Site to send unsolicited communications, "spam," or to harvest contact information
  • Interfere with or disrupt the operation of the Site or the servers or networks that host it
  • Use the intake assessment tool to test our AI in bad faith, attempt prompt injection, or attempt to extract our system prompts or training data
  • Submit content designed to harm, mislead, or defame any person
  • Use the Site, our content, or our methodology to develop a competing product or service
  • Misrepresent your identity, affiliation, or the nature of your inquiry

We reserve the right to suspend or terminate access to the Site at any time, with or without notice, for any reason or no reason, including but not limited to violation of these Terms.

5. Intellectual Property

5.1 Our Intellectual Property

The Site and all content on it — including text, graphics, logos, the Big Head Consulting name and three-circle mark, our intake assessment design, the structure and organization of the Site, our service descriptions, and the underlying software — are owned by Big Head Consulting or our licensors and are protected by United States and international intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or business use in evaluating our services. This license does not include any right to:

  • Copy, reproduce, modify, distribute, or republish material from the Site (except as expressly permitted)
  • Sell, rent, license, sublicense, or commercially exploit any part of the Site
  • Create derivative works based on the Site
  • Use the Site or our content to train any artificial intelligence model, machine learning system, or similar technology
  • Use our name, logo, or trade dress without our prior written permission

All rights not expressly granted are reserved.

5.2 Your Submissions

When you submit content to the Site (including through the intake assessment tool or by email), you represent that:

  • You own or have the necessary rights to submit it
  • It does not infringe the rights of any third party
  • It does not violate any applicable law

By submitting content, you grant Big Head Consulting a worldwide, non-exclusive, royalty-free license to use that content for the purposes of operating the Site, responding to your inquiry, evaluating potential engagement, and improving our services. This license includes the right to share your submission with our service providers (such as Anthropic's AI processing API) as described in our Privacy Policy.

You retain ownership of your submitted content. We do not claim ownership of your business information, ideas, or descriptions of your situation.

5.3 Feedback

If you send us suggestions, ideas, or other feedback about the Site or our services, you grant us the right to use that feedback freely, without compensation, attribution, or obligation to you. This does not give us the right to identify you publicly as the source of the feedback without your consent.

6. Third-Party Services and Links

The Site may contain links to third-party websites or use third-party services (such as our AI processing provider). We are not responsible for the content, accuracy, privacy practices, or operations of third-party sites or services. Your use of any third-party site or service is at your own risk and governed by that third party's terms and privacy policy.

7. No Professional Advice; No Engagement Created by Site Use

7.1 Informational Only

Content on the Site, including any output from the intake assessment tool, is for general informational purposes only. It does not constitute:

  • Legal, financial, accounting, tax, regulatory, or investment advice
  • A professional opinion tailored to your specific situation
  • A binding offer to provide services
  • A guarantee of any particular outcome from engaging with us

7.2 No Engagement by Visit or Submission

Submitting an intake inquiry does not create a consulting engagement, contractual relationship, or professional relationship between you and Big Head Consulting. An engagement is created only when both parties sign a written engagement document (such as a Master Services Agreement and Statement of Work).

7.3 Your Reliance

You should not act or refrain from acting based on information from the Site without obtaining appropriate professional advice based on your particular circumstances.

8. Disclaimers

8.1 "AS IS" and "AS AVAILABLE"

THE SITE AND ALL CONTENT, FEATURES, AND SERVICES ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BIG HEAD CONSULTING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT (INCLUDING AI-GENERATED OUTPUT)

8.2 AI Output Disclaimer

The intake assessment tool uses an AI model that may produce inaccurate, incomplete, or misleading output. AI output:

  • May contain factual errors
  • May misinterpret the information you provide
  • Should not be relied upon as a definitive analysis of your situation
  • Is reviewed by Big Head Consulting personnel only after you submit the intake form and we begin substantive follow-up

You are responsible for evaluating the AI's output and not making consequential decisions based on it alone.

8.3 Local Law

Some jurisdictions do not allow the exclusion of certain warranties. To the extent such exclusions are not permitted in your jurisdiction, the warranty exclusions above apply to the maximum extent permitted by law.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

9.1 Damages Excluded

IN NO EVENT WILL BIG HEAD CONSULTING, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST BUSINESS, LOST OPPORTUNITIES, LOST DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR YOUR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Aggregate Cap

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100), OR THE TOTAL AMOUNT YOU HAVE PAID US (IF ANY) IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

9.3 Basis of the Bargain

THE DISCLAIMERS AND LIMITATIONS IN SECTIONS 8 AND 9 ARE A FUNDAMENTAL PART OF THE BARGAIN BETWEEN YOU AND BIG HEAD CONSULTING AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

9.4 Local Law

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. In those jurisdictions, the limitations above apply only to the maximum extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Big Head Consulting and its members, officers, employees, agents, and licensors from and against any claims, damages, losses, liabilities, and reasonable attorneys' fees arising out of or relating to:

  • Your use of the Site in violation of these Terms or applicable law
  • Content you submit through the Site
  • Your violation of any third party's rights
  • Your breach of any representation, warranty, or obligation under these Terms

We may, at our option, assume the exclusive defense and control of any matter for which you are obligated to indemnify us, in which case you agree to cooperate with our defense.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without cause, with or without notice, and without liability to you. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles.

12.2 Venue

You and Big Head Consulting agree that any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in DuPage County, Illinois. You consent to the personal jurisdiction of those courts.

12.3 Equitable Relief

Notwithstanding the above, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or confidential information.

12.4 Time to Bring Claims

Any cause of action arising out of or relating to these Terms or your use of the Site must be commenced within one (1) year after the cause of action accrues, or it is permanently barred. Some jurisdictions do not allow the shortening of statutes of limitations; in those jurisdictions, this provision applies to the maximum extent permitted by law.

13. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last Updated" date at the top. If we make material changes, we will provide prominent notice on the Site or, where appropriate, by email to users we have contacted.

Your continued use of the Site after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree with the changes, your sole remedy is to stop using the Site.

14. General Provisions

14.1 Entire Agreement. These Terms, together with our Privacy Policy, Cookie Policy, Accessibility Statement, and AI Disclosure Notice, constitute the entire agreement between you and Big Head Consulting regarding the Site and supersede any prior agreements regarding the same subject matter. These Terms do not supersede any separately executed consulting agreement.

14.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

14.3 Waiver. Our failure to enforce any provision of these Terms is not a waiver of the right to enforce that provision later or any other provision.

14.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate.

14.5 No Agency. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Big Head Consulting.

14.6 Force Majeure. We will not be liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, internet or utility outages, pandemic-related disruptions, or acts of government.

14.7 Headings. Section headings are for convenience only and do not affect interpretation.

14.8 Notices. We may provide notices to you by posting on the Site or sending to the email address you provided. You may provide notices to us by email to robert@bigheadconsulting.ai or by mail to the address in Section 15.
